1. Who these terms are between
These terms are an agreement between you, the business using Kavi ("you"), and Panigrahana Weddings ("we", "us"), which operates Kavi and Dwaar. By using Kavi you accept these terms.
2. What Kavi does
Kavi creates marketing content from the material and knowledge you provide, publishes it to the channels you have authorised, works to improve how your business appears in search and AI answers, and captures and tracks enquiries in Dwaar, its CRM. The exact channels and features included are those set out in your engagement.
3. Your accounts and permissions
You authorise Kavi to publish on a channel by connecting that channel yourself. Connections use the platform's own authorisation flow or a scoped key that you generate. We never ask for your passwords. You may revoke any connection at any time, directly at the platform or by telling us, and publishing on that channel stops immediately.
You confirm that you own or are authorised to manage the accounts you connect, and that you have the rights to the photos, video and other material you give us to publish.
4. Approval and autonomy
Each channel has an autonomy setting that you control, ranging from draft-only to fully autonomous. High-stakes actions, including messages sent to your clients, always require your approval regardless of that setting. You are responsible for what you approve.
5. What we cannot promise
We do not control search engines, social platforms or AI assistants. We cannot guarantee particular rankings, that your business will appear in any AI answer, or a specific number of enquiries or bookings. Anyone promising those things is guessing. What we commit to is the work: the content, the distribution, the measurement and the reporting, done continuously and honestly.
Platforms may change their rules, pricing or access at any time. If a channel becomes unavailable through no fault of ours, we will tell you and redirect the effort to the channels that remain.
6. Exclusivity
We take one client per category, per area, because Kavi cannot honestly advance two competing businesses as the answer to the same question. While your engagement is active we will not take a directly competing business in your category and area. Category and area are defined in your engagement.
7. Fees
Fees, currency and billing schedule are set out in your engagement and vary by market. Fees are payable in advance for the period stated there. Unless your engagement says otherwise, fees are non-refundable for a period already begun. Access to the service may be suspended if fees are overdue.
8. Ownership
You own your brand, your material and the content we create for your business, along with your CRM records and enquiry data. We own Kavi itself: the software, the models and prompts we build, and the general methods we develop. Improvements we learn from operating your account may make the product better for everyone, but your business information, content and customer data are never shared with or used to produce work for another customer.
9. Acceptable use
You agree not to use Kavi to publish anything unlawful, misleading, discriminatory or infringing, to impersonate another business, or to breach the terms of any connected platform. We may pause or end an engagement that does.
10. Confidentiality
Both sides keep the other's non-public information confidential. Where you mark information as internal during onboarding, it is withheld from the material Kavi publishes and from model prompts.
11. Liability
To the extent the law allows, neither side is liable for indirect or consequential loss, including lost profits or lost bookings. Our total liability in connection with the service is limited to the fees you paid us in the 12 months before the claim. Nothing here limits liability that cannot lawfully be limited.
12. Ending the engagement
Either side may end the engagement with 30 days' written notice, and either side may end it immediately for a material breach that is not fixed within 14 days of being raised. On termination we stop publishing, disconnect your channels, and, if you ask, delete your data as described in our data deletion instructions. Content already published to your own accounts remains yours and stays where it is.
13. Changes to these terms
If we change these terms materially we will tell you by email before the change takes effect for you. Continuing to use Kavi after that means you accept the change.
14. Governing law
These terms are governed by the laws of India, and the courts of Bengaluru have exclusive jurisdiction, unless your engagement says otherwise.
